Fujian Computer Society (FCS)

More than one decade has passed since Fujian Computer Society (FCS) was founded. In order to inherit the past and forge ahead into the future, and to help computer workers better understand the developing progress of FCS over the past decade, so as to improve cooperation and mutual assistance and to make FCS well-organized, we organized and established the website of FCS at:www.cfcs.com.cn.

    Over the past decade, under the leadership of Fujian Association For Science & Technology, and uniting large number of computer workers, FCS has made some achievements in various aspects such as carrying out academic exchanges and decision-making consultations, in popularizing computer education, organizing middle school students to participate in the international Olympic informatics(computer) competition, in fostering talents, and in publishing the periodical FUJIAN COMPUTER.

    FCS is an academic organization of computer science and technology workers themselves, and it is one of the most active academic groups in the hi-tech field. It should significantly help promoting the development of Fijian’s hi-tech industry. At current stage of China’s reform and opening to the outside world, it is necessary for the Society to fully exert its advantage of science, technology and talents in developing the computer technology of our province, activating academic exchanges, uniting and mobilizing computer workers in our province to adapt to the demand of market economy, to devote themselves to the construction of digital Fujian, and to make contributions to the computer industry development of our province.

Chapter I General Provisions

Article 1 This is an organization by the name of Fujian Computer Society(FCS)(hereinafter "the Society")
Article 2 The Society is a non-profit, non-governmental academic organization established by voluntary participants, engaging in science research on computer technology, in teaching, in computer products` development, production, circulation and application.
Article 3 The Society observes the Constitution, laws and regulations and state policies, as well as social morality. With the aim of “academic exchanges, cooperation and service”, the Society unites and organizes computer workers throughout Fujian Province to vigorously popularize computer science and technology, focusing on the central task of economic construction, making efforts to foster talents of computer science and technology, to push forward the flourish and development of computer industry, to strengthen the exchanges with the IT industry from home and abroad, and to enhance the informatization of our province.
Article 4 The Society is under the supervision and administration of the authorities in charge, i.e. Fujian Association for Science & Technology, and the registering department of Fujian Province Civil Affairs Department.

Chapter II Scope of Work

Article 6 Scope of Work of the Society
(1) The major task of the Society will be to push forward the development of IT industry and the informatization throughout the province with the help of computer technology R&D, academic exchanges, study on and analysis of development strategy, popularization and application of achievements, technology consultation & service, computer knowledge education and its popularization. The Society will also undertake relevant proceedings awarded by the authorities in charge.
(2) To publicize and implement relevant polices, laws and regulations promulgated by state and government authorities, to assist the authorities concerned in working out policy of computer industry and technical standards and regulations related with the computer production, circulation and service field, and to enhance the healthy development of IT market;
(3) To provide the members with service in managing, marketing, technological training and consulting, to promote exchanges between the members, and to provide assistance and service for the development of the member enterprises;
(4) To organize academic exchanges of computer technology, to learn from and popularize the advanced technology, industry and managerial experience from both home and abroad, to promote the combination of producing, studying and researching, and to facilitate the prosperity and development of computer industry of our province; 
(5) To publicize and popularize computer knowledge, to find and recommend talents of computer science technology, to introduce in the advanced computer products and service, and to raise the level of computer application throughout Fujian Province;
(6) To keep track of the development of computer science and technology, to make researches on the development strategy, and to provide science-oriented suggestions on decision-making and consulting service to government authorities concerned;
(7) To be entrusted by the government and member units to carry out the argumentation on computer technology, the appraisal on scientific and technological achievements and the assessment of professional titles;
(8)To protect the lawful rights and interests of members in accordance with national policies and laws, to reflect the wills of members, and to hold service activities for members;
(9) To ensure the publications of the Society successful, and to strengthen the exchanges and cooperation with the societies, associations and other social groups from Hong Kong, Macao and Taiwan;
(10) To fulfill other tasks appointed by authorities concerned or by member units.

Chapter III members

Article 7 The Society members are divided into unit members and individual members. 
Article 8 The conditions set forth hereinafter as follows must be satisfied by member applicants:
(1) To uphold the Society Constitution;
(2) Wishing to join the Society;
(3) Having influence to some extent within the field of computer technology and IT industry;
(4) Individual members are required to be working within the field of computer technology, management and IT industry and have outstanding achievements.
Article 9 The enrolling procedures for the members are as follows:
(1) To submit application letters for enrollment;
(2) After having been discussed and passed or authorized by the council, the working committee of the Society will act as its representative in examining and approving.
(3) The council or the secretariat of the Society authorized by the council sends out "Approving Notice on Enrolment to Fujian Computer Society" and membership cards. 
Article 10 Members shall have the following rights:
(1) The right to vote, the right to be elected and voting power in the Society;
(2) To participate in the activities of the Society;
(3) To obtain the priority of service by the Society;
(4) The right to criticize, suggest and supervise on the society;
(5) To be voluntary to enroll in and free to withdraw from the Society;
(6) To be entitled to reflect their wills to the government through the Society. 
Article 11 The duties of the members shall be as follows:
(1) To abide by the Society Constitution and to carry out the resolutions of the Society;
(2) To safeguard the lawful rights and interests of members;
(3) To pay up the membership dues;
(4) To pay the membership dues as required; 
(5) To respect the intellectual property rights and to observe professional morality. 
Article 12 Any member may, by giving a written notice and returning membership cards, withdraw from membership. And any member shall be regarded as voluntary resignation from membership if failing to pay membership dues or to participate in the activities of the Society for one year.
Article 13 Member who severely infringe upon these Regulations will have their membership disqualified by voting decision of the council or standing council.

Chapter IV Organizational structure, the appointment and dismissal of person(s)-in-charge
Article 14 The supreme sovereign body of the Society is the Members Congress, and the congress performs the following functions:
(1) To formulate and revise the Society Constitution;
(2) To elect and dismiss the directors;
(3) To take into deliberation the work report and financial report of the council;
(4) To make the decision on matters of termination;
(5) To make the decision on other important issues.
Article 15 The Members Congress should not convene without over half of representatives attending, and its resolution should be subject to the voting of the majority of the attendance at the meeting to take effect.
Article 16 Each term of the Members Congress is 5 years. When for particular reasons, new terms election should be ahead of schedule or postponed, it should be up to the council to vote, to submit a report to the authorities in charge to be inspected and approved by the registration supervisor.  However, the new terms election should not be postponed for over a year。
Article 17 The council is the executive organ of the Members Congress, and is in charge of the routine work of the Society and hold responsibility to the Members Congress when the congress is not in session. 
Article 18 The responsibilities of the council include:
(1) To carry out the resolutions of the Members Congress;
(2) To elect and dismiss the director, vice director and secretary-general of the council;
(3) To prepare for the Members Congress;
(4) To report to the Members Congress on the work and financial situation;
(5) To make the decision on the acceptance or exclusion of member(s);
(6) To make the decision on setting up administrative body, branch, representative body and business entity;
(7) To make the decision on the appointment of vice secretary-general or the major persons in charge of different organs;
(8)To lead the organs of the Society to work;
(9) To stipulate internal management systems;
(10) To make decisions on other important issues;
(11) To decide the number of representatives of Members Congress and the inspection of qualification for the Members Congress. 
Article 19 A minimum of half of the council members must be present at the council meeting. A motion may become a policy if at least two-thirds of the council members present vote in favor of the issue.
Article 20 The council meeting shall be held no less than once a year. It may be held in telecommunication under special circumstances.
Article 21 The Society shall establish a standing council. The standing council members will be elected by the council members, fulfill the responsibilities laid down in Clause 1, 3, 5, 6, 7, 8, 9, 11 of Article 18, and hold responsibility to the council (the membership of the standing council shall not be larger than that of the council).
Article 22 A minimum of half of the standing council members must be present at the standing council meeting. A motion may become a policy if at least two-thirds of the standing council members present vote in favor of the issue.
Article 23 The standing council meeting shall be held at least biannually. It may be held in telecommunication under special circumstances.
Article 24 The director, vice-director and secretary-general of the Society must meet the following qualifications:
(1) Upholding the guidelines, principles and policies with good political caliber;
(2) Having considerable influence in the scope of this Society;
(3) The age of each of director, vice-director and secretary-general shall not exceed 65 at the highest when he (or she) takes office;
(4) In good physical condition and capable of consistently handling work;
(5) Never be dealt with criminal sanction with depriving political rights.
(6) Full civil capability of conduct.
Article 25 Any one of director, vice-director and secretary-general who has already gone beyond this age ceiling must first be voted through by the council and submit a report to the authorities in charge to be inspected and approved by the registration supervisor before assuming his (or her) post.
Article 26 The director, vice-director and secretary-general shall serve a term in office of 5 years, none of them should hold the same official position for more than two terms. If the extension of term is needed due to special situation, the official in question can only assume his (or her) post after two thirds (2/3) representatives cast affirmative votes in the Member Congress and submit a report to the authorities in charge to be inspected and approved by the registration supervisor before assuming his (or her) post.
Article 27 The director of the council is the legal representative of the Society. The legal representative of the Association must not be the legal representative of any other social groups at the same time.
Article 28 The responsibilities of the director of the Society council include:
(1) To conduct the council meetings or standing council meetings, which may be entrusted to the vice director of the council or secretary-general;
(2) To oversee the implementation of the resolutions of the Members Congress and the council (or standing council);
(3) To sign relevant important documents on behalf of the Society;
(4) To confirm other major issues of the Society.
Article 29 The responsibilities of the secretary-general of the Society include:
(1) To implement the annual work plan,to manage daily affairs.
(2) To coordinate activities with branch offices.
(3) To nominate the vice secretary-general and the major person(s) in charge of administrative body, branch, representative body and business entity; to make recommendations on the numbers of the representatives of Members Congress to be decided by the council and standing council;
(4) To make decisions on the employment of full-time staff of administrative body, branch, representative body and business entity;
(5) In charge of financial service, to approve the financial expenditures;
(6) To handle other daily activities.

Chapter V Principle for Management and Use of the Assets

Article 30 Fundraising resources:
(1) Membership dues
(2) Donations
(3) Government donations
(4) Revenues generated from business activities
(5) Interests
(6) Other sources of legal income.
Article 31 The Society collects membership dues according to the rules.
Article 32 Funds of the Society must be used for the business stipulated in the Constitution, and not allowed to be distributed among the members.
Article 33 The Society shall establish strict financial control systems, to ensure the accounting information legal, real, correct and complete.
Article 34 The Society shall be provided with qualified accountants. The accountants must clearly hand over the job to a successor before leaving the accountant position.
Article 35 The management of assets and funds will be in accordance with the state laws,and under supervision of the Members Congress and the financial department. The part of the assets coming from financial aid of the government or social entity must accept the supervision of the audit department of the government,then reported the relative information to the public in an appropriate way.
Article 36 Before the term of the Society expires or the legal representative is changed, the financial work should accept the auditing organized by the authorities in charge and the registration supervisor.
Article 37 Individual and/or units are not permitted to use the assets or funds of the Society under any circumstances.
Article 38 The salary, welfare benefits and labor insurance of full-time staff are referenced to the stipulations for institution issued by the state.

Chapter VI Procedures of Amending the Constitution

Article 39 In order to amend the Constitution,the council must hold a meeting to vote on this amendment,then submit a report to the Members Congress for permission.
Article 40 After the Members Congress approve the amendment to the Constitution and the adopted Constitution has been examined and approved by the authorities in charge within 15 days,a report must be submitted to registration supervisor before it goes to effect.

Chapter VII Termination Procedures and Assets Handling after Termination

Article 41 The council or the standing council may put forward a motion of termination of the Society due to the purpose of the Society is completed or auto-dismiss, or separation, or integration etc.
Article 42 The proposal for termination should be voted through by the Members Congress and obtain consent from the authorities in charge.
Article 43 Before termination,a liquidation body should be established under the guidance of the authorities in charge and relevant departments of the government for liquidation of the creditors` rights and liabilities. During the process of liquidation, all activities uninvolved are not engaged.
Article 44 The Society is to be terminated as the registration is wrote off by the registration supervisor.
Article 45 After the Society is terminated, the rest property will be used for development of utilities related with the purpose of the Society in accordance with the relevant stipulations of the state under the supervision of the authorities in charge and the registration supervisor.

Chapter Ⅷ Supplementary Articles

Article 46 This Constitution of the Society has been adopted by a vote at the Member Congress on May 30th, 1999.
Article 47 Explanation right to this Constitution belongs to the council of the Society.
Article 48 This Constitution goes to effect from the date of approval issued by the registration supervisor.
